Responsible Sourcing Policy for Platinum Supply Chain

Recognizing the potential risks of significant adverse impacts associated with the extraction, trading, processing, and export of mineral resources from “conflict-affected and high-risk areas,” and acknowledging our responsibility to uphold human rights, prevent the escalation of conflicts, and mitigate any negative environmental and social effects, ITP Co., Ltd. is committed to adopting and promoting the principles outlined in the OECD Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas. These principles will be integrated into the contracts and agreements with our suppliers. This policy serves as a reference for all conflict-sensitive procurement activities throughout the platinum supply chain, as well as for raising suppliers’ awareness of risk. We are committed to refraining from engaging in any activities that may finance conflicts, and to complying with relevant United Nations sanctions resolutions, or, where applicable, the domestic laws enforcing such resolutions. The materials covered by this policy include those related to platinum alloys and apply to ITP Co., Ltd., its subsidiaries, and platinum alloy suppliers.

I     Risks Related to Serious Violations of Human Rights and Risk Mitigation Strategies

第一條 與礦產(chǎn)開采、運(yùn)輸、或貿(mào)易有關(guān)的嚴(yán)重侵權(quán)行為的風(fēng)險(xiǎn)

Article 1 Risks of Serious Violations of Rights Related to Mineral Extraction, Transport, or Trade

在受沖突影響和高風(fēng)險(xiǎn)區(qū)域開展采購(gòu)或經(jīng)營(yíng)活動(dòng)時(shí),我們既不會(huì)容忍也不會(huì)以任何方式獲利于、幫助、協(xié)助或便利任何一方實(shí)施。

In conducting procurement or business activities in conflict-affected and high-risk areas, we will neither tolerate nor profit from, nor will we assist, support, or facilitate any party involved in such actions.

1.      任何形式的酷刑,殘忍、不人道和有辱人格的待遇;

1.    Any form of torture, cruel, inhuman, or degrading treatment;

2.      任何形式的強(qiáng)迫或強(qiáng)制勞動(dòng)。強(qiáng)迫或強(qiáng)制勞動(dòng)是指以懲罰作為威脅榨取的任何個(gè)人的、并非該人自愿提供的勞動(dòng)或服務(wù);

2. Any form of forced or compulsory labor. Forced or compulsory labor refers to any labor or services extracted from an individual under the threat of punishment, and not voluntarily provided by that person;

3. The worst forms of child labor;

4. 其他嚴(yán)重侵犯和踐踏人權(quán)的行為,如普遍的性暴力行為;

4. Other serious violations and abuses of human rights, such as widespread sexual violence;

第二條 關(guān)于童工的風(fēng)險(xiǎn)

Article 2 The Risks of Child Labor

在受沖突影響和高風(fēng)險(xiǎn)區(qū)域開展采購(gòu)或經(jīng)營(yíng)活動(dòng)時(shí),我們將不會(huì)雇傭、獲利于、協(xié)助或?yàn)榈陀跂|道國(guó)法律或法規(guī)規(guī)定的最低工作年齡的兒童就業(yè)而提供便利或跟其采購(gòu)或與其有關(guān)聯(lián)。如果東道國(guó)沒有相關(guān)的法律或法規(guī)規(guī)定,最低工作年齡為 16 周歲。

In conducting procurement or business operations in conflict-affected and high-risk areas, we will not employ, benefit from, assist, or facilitate the employment of children below the minimum working age set by the laws or regulations of the host country. Additionally, we will not engage in procurement from or form associations with entities involved in such practices. Where the host country has no specific laws or regulations, the minimum working age will be considered as 16 years old.

Article 3 Risk Mitigation Strategies Related to Serious Violations of Human Rights

如果我們有合理理由認(rèn)為該風(fēng)險(xiǎn)存在,即上游供應(yīng)商正從實(shí)施上述嚴(yán)重侵權(quán)行為,或者雇傭童工的任何一方進(jìn)行采購(gòu)或與該方有關(guān)聯(lián),我們將立即中止或終止與該供應(yīng)商的合作。


If we have reasonable grounds to believe that such a risk exists—specifically, if an upstream supplier is engaged in any of the aforementioned serious violations or is sourcing from or associated with any party that employs child labor—we will promptly suspend or terminate our cooperation with that supplier.

II Risks Related to Conflicts and Risk Mitigation Strategies

Article 1 Risks Related to the Direct or Indirect Support of Non-State Armed Groups

我們不會(huì)容忍任何通過(guò)礦產(chǎn)開采、運(yùn)輸、貿(mào)易、處理或出口為非國(guó)家武裝團(tuán)體提供直接或間接的支持。通過(guò)礦產(chǎn)開采、運(yùn)輸、貿(mào)易、處理或出口為非國(guó)家武裝團(tuán)體提供直接或間接的支持包括且不限于從非國(guó)家、武裝團(tuán)體或其關(guān)聯(lián)方購(gòu)買礦產(chǎn),向其進(jìn)行付款,或以其他方式為其提供后勤支援或設(shè)備等。這些武裝團(tuán)體或關(guān)聯(lián)方可能存在如下侵權(quán)行為:

We will not tolerate any direct or indirect support to non-state armed groups through mining, transportation, trade, processing, or export of minerals. Providing direct or indirect support to non-state armed groups through mining, transportation, trade, processing, or export includes, but is not limited to, purchasing minerals from non-state armed groups or their affiliates, making payments to them, or otherwise providing logistical support or equipment to them. These armed groups or affiliates may be involved in the following violations:

1.      非法控制礦址,或以其他方式控制運(yùn)輸路線、礦產(chǎn)交易點(diǎn)以及供應(yīng)鏈上游行為主體;并/或

      1.      illegally controlling mining sites, or otherwise controlling transportation routes, mineral trading points, and upstream actors in the supply chain; and/or

      2.    illegally taxing or extorting money or minerals at mining site entrances, along transportation routes, or at mineral trading points; and/or

3.      對(duì)中間商、出口企業(yè)、或國(guó)際貿(mào)易商非法征稅或勒索。

      3. illegally taxing or extorting intermediaries, export companies, or international traders.

第二條 直接或間接支持非國(guó)家武裝團(tuán)體的風(fēng)險(xiǎn)緩解策略

Article 2 Risk Mitigation Strategies for Direct or Indirect Support to Non-State Armed Groups

如果我們有理由認(rèn)為,上游供應(yīng)商從向非國(guó)家武裝團(tuán)體提供直接或間接支持的任何一方進(jìn)行采購(gòu)或與之存在關(guān)系,我們將立即中止或終止與該供應(yīng)商的合作。

If we have reasons to believe that an upstream supplier is procuring from or has any relationship with parties providing direct or indirect support to non-state armed groups, we will immediately suspend or terminate our cooperation with that supplier.

Article 3 Risks Related to Public or Private Security Forces

我們杜絕向非法控制礦址、運(yùn)輸路線以及供應(yīng)鏈上游行為主體,在礦址入口、運(yùn)輸路線沿線或礦產(chǎn)交易點(diǎn)非法征稅或索要錢財(cái)或礦產(chǎn),或者向中間商、出口企業(yè)或國(guó)際貿(mào)易商非法征稅或進(jìn)行勒索的公共或私人安全武裝提供直接或間接支持。

We prohibit providing direct or indirect support to public or private security forces that illegally control mining sites, transportation routes, or upstream agents in the supply chain, illegally tax or extort money or minerals at mining site entrances, along transportation routes, or at mineral trading points, or illegally tax or extort intermediaries, export companies, or international traders.

我們認(rèn)可,礦址及 / 或其周邊地區(qū)以及 / 或運(yùn)輸?shù)缆费鼐€的公共或私人安全武裝的作用僅是維護(hù)法治,包括保障人權(quán)、保護(hù)礦工、設(shè)備和設(shè)施安全、保護(hù)礦址或運(yùn)輸路線以使合法的開采和貿(mào)易不受干擾。

We acknowledge that the role of public or private security forces at mining sites and/or surrounding areas and/or along transportation routes is solely to uphold the rule of law, including safeguarding human rights, protecting miners, equipment, and facilities, and securing mining sites or transportation routes to ensure that legitimate mining and trade are not disrupted.

在我們或我們供應(yīng)鏈上的任何企業(yè)與公共或私人安全武裝簽訂合約的情況下,我們承諾或?qū)⒁?guī)定,這類安全武裝需被公認(rèn)的處理公共或私人安全武裝的國(guó)際標(biāo)準(zhǔn)和指導(dǎo)性文件所認(rèn)可。尤其是,我們將會(huì)支持或采取措施運(yùn)用篩查政策,確保已知的實(shí)施過(guò)嚴(yán)重侵犯人權(quán)行為的個(gè)人或安全武裝單位不被錄用。

In the event that any of our companies or those in our supply chain enter into contracts with public or private security forces, we commit to or will stipulate that such security forces must comply with internationally recognized standards and guidelines for handling public or private security forces. In particular, we will support or take measures to implement screening policies to ensure that individuals or security forces known to have committed serious violations of human rights are not hired.

我們將支持或采取措施與中央或地方政府、國(guó)際組織和民間社會(huì)組織開展合作,共同為如何提高公共安全武裝安保費(fèi)用的透明度、相稱性和問(wèn)責(zé)性找到可行的解決方案。

We will support or take measures to cooperate with central or local governments, international organizations, and civil society organizations to find feasible solutions on how to improve the transparency, proportionality, and accountability of public security force security costs.

我們將支持或采取措施與當(dāng)?shù)卣?、?guó)際組織和民間社會(huì)組織開展互動(dòng),避免或最大限度地降低公共或私人安全武裝駐扎在礦址給弱勢(shì)群體帶來(lái)的負(fù)面影響,尤其是對(duì)手工采礦礦工的負(fù)面影響。

We will support or take measures to interact with local governments, international organizations, and civil society organizations to avoid or minimize the negative impact that the stationing of public or private security forces at mining sites may have on vulnerable groups, especially on artisanal miners.


第四條 關(guān)于公共或私人安全武裝的風(fēng)險(xiǎn)緩解策略

Article 4 Risk Mitigation Strategies for Public or Private Security Forces

如果我們有合理理由認(rèn)為供應(yīng)鏈中存在上述風(fēng)險(xiǎn),將根據(jù)企業(yè)在供應(yīng)鏈上所處的具體位置,立即制定、采用和實(shí)施上游供應(yīng)商及其他利益相關(guān)方風(fēng)險(xiǎn)管理計(jì)劃,從而使該風(fēng)險(xiǎn)得到遏制或降低。如果風(fēng)險(xiǎn)管理計(jì)劃實(shí)施六個(gè)月未起作用,我們將暫時(shí)中止或終止與上游供應(yīng)商的合作。

If we have reasonable grounds to believe that the above risks exist within the supply chain, we will immediately develop, adopt, and implement an upstream supplier and other stakeholder risk management plan, based on the specific position of the company in the supply chain, to contain or reduce the risk. If the risk management plan has not been effective after six months of implementation, we will temporarily suspend or terminate cooperation with the upstream supplier.

III  Governance-Related Risks and Risk Mitigation Strategies

第一條 關(guān)于行賄受賄及礦產(chǎn)原產(chǎn)地的欺詐性失實(shí)陳述風(fēng)險(xiǎn)

Article 1 Risks Related to Bribery and Corruption, and Fraudulent Misrepresentation of Mineral Origin

我們不會(huì)提出、承諾、進(jìn)行或索要任何賄賂,并且抵制誘惑,不會(huì)為了掩蓋或偽造礦產(chǎn)原產(chǎn)地,虛報(bào)礦產(chǎn)開采、貿(mào)易、處理、運(yùn)輸、出口等活動(dòng)應(yīng)向政府繳納的稅收、費(fèi)用和特許開采費(fèi)而行賄。

We will not offer, promise, give, or demand any bribe, and we resist the temptation to bribe in order to conceal or falsify the origin of minerals, or to underreport taxes, fees, and royalties that should be paid to the government for activities such as mineral extraction, trade, processing, transportation, and export.

第二條 關(guān)于洗錢的風(fēng)險(xiǎn)

Article 2 Risks Related to Money Laundering

如果我們有理由認(rèn)為,存在因開采、貿(mào)易、處理、運(yùn)輸或出口在礦址入口、運(yùn)輸路線沿線、或上游供應(yīng)商礦產(chǎn)交易地進(jìn)行非法征稅或勒索而得的礦產(chǎn)所引起或與之相關(guān)的洗錢風(fēng)險(xiǎn),我們將支持或采取措施,為有效消除洗錢行為做出貢獻(xiàn)。

If we have reasons to believe that there are money laundering risks associated with minerals obtained through illegal taxation or extortion at mining site entrances, along transportation routes, or at upstream suppliers’ mineral trading points, we will support or take measures to contribute to the effective elimination of money laundering activities.

第三條 關(guān)于向政府支付的稅收、費(fèi)用及特許費(fèi)的風(fēng)險(xiǎn)

Article 3 Risks Related to Taxes, Fees, and Royalties Paid to the Government

我們將確保向政府支付所有與受沖突影響和高風(fēng)險(xiǎn)區(qū)域礦石開采、貿(mào)易、出口相關(guān)的合法稅收、費(fèi)用和特許費(fèi),并且承諾根據(jù)企業(yè)在供應(yīng)鏈上所處位置依照所在國(guó)關(guān)于向政府部門繳納的稅費(fèi)信息公開的要求對(duì)此類支付進(jìn)行披露。

We will ensure the payment of all legitimate taxes, fees, and royalties to the government related to mining, trade, and export of minerals from conflict-affected and high-risk areas. We also commit to disclosing such payments in accordance with the requirements of the country in which the company

operates, based on its position in the supply chain and the transparency requirements for tax and fee payments to government authorities.

第四條 關(guān)于與治理有關(guān)的風(fēng)險(xiǎn)緩解策略

Article 4 Governance-Related Risk Mitigation Strategies

根據(jù)企業(yè)在供應(yīng)鏈上所處的具體位置,我們承諾與供應(yīng)商、中央或地方政府機(jī)關(guān)、國(guó)際組織、民間社會(huì)以及受影響的第三方酌情進(jìn)行合作,本著在合理的時(shí)間跨度內(nèi)采取顯著措施防范或降低有負(fù)面影響的風(fēng)險(xiǎn)的目的,對(duì)績(jī)效進(jìn)行改善或跟蹤。風(fēng)險(xiǎn)降低措施未起作用的,我們將暫時(shí)中止或終止與上游供應(yīng)商的合作。對(duì)采用風(fēng)險(xiǎn)管理計(jì)劃后需要降低的風(fēng)險(xiǎn),企業(yè)應(yīng)額外進(jìn)行風(fēng)險(xiǎn)評(píng)估。若風(fēng)險(xiǎn)管理計(jì)劃六個(gè)月內(nèi)未取得明顯效果,行賄、受賄及對(duì)礦產(chǎn)產(chǎn)地進(jìn)行欺詐性失實(shí)陳述、洗錢、以及向政府繳納稅款、費(fèi)用、特許費(fèi)等行為的風(fēng)險(xiǎn)未能得到遏制或降低的話,企業(yè)應(yīng)暫時(shí)停止或中斷與供應(yīng)商的合作,時(shí)間至少是三個(gè)月,并在暫時(shí)中止合作的同時(shí)對(duì)風(fēng)險(xiǎn)管理計(jì)劃進(jìn)行修訂,闡明貿(mào)易關(guān)系恢復(fù)之前改進(jìn)工作所應(yīng)達(dá)到的績(jī)效目標(biāo)。

Based on the specific position of the company in the supply chain, we commit to cooperating with suppliers, central or local government authorities, international organizations, civil society, and affected third parties as appropriate, with the aim of taking significant measures within a reasonable timeframe to prevent or reduce risks with negative impacts, and to improve or track performance. If the risk mitigation measures are ineffective, we will temporarily suspend or terminate cooperation with upstream suppliers. For risks that need to be reduced after adopting a risk management plan, the company should conduct additional risk assessments. If the risk management plan does not show significant results within six months and risks such as bribery, corruption, fraudulent misrepresentation of mineral origin, money laundering, and failure to pay taxes, fees, and royalties to the government are not contained or reduced, the company should temporarily suspend or interrupt cooperation with the supplier for at least three months. During this suspension, the risk management plan should be revised, specifying the performance goals to be achieved for improvements before trade relations can be resumed.

IV    Risks Related to Other Human Rights and Environmental Protection, and Risk Mitigation Strategies

第一條 關(guān)于職業(yè)健康和安全

Article 1 Occupational Health and Safety

在進(jìn)行商業(yè)活動(dòng)中,我們不會(huì)獲利于、協(xié)助、便利于任何為其直接和/或間接雇員和/或在其生產(chǎn)現(xiàn)場(chǎng)的任何人員提供影響礦工、直接和間接雇員的身心健康的職業(yè)健康與安全環(huán)境的一方,或從該方處采購(gòu)或與之存在關(guān)聯(lián)。

In our business activities, we will not profit from, assist, or facilitate any party that provides occupational health and safety environments that impact the physical and mental health of miners, direct and/or indirect employees, or any personnel at their production sites, nor will we procure from or have any association with such parties.


第二條 關(guān)于歧視

Article 2 Discrimination

在進(jìn)行商業(yè)活動(dòng)中,我們不會(huì)與任何存在歧視行為的供應(yīng)商進(jìn)行合作,包括基于性別、種族、宗教、年齡、殘疾或其他身份特征的歧視。我們不會(huì)從該類企業(yè)處采購(gòu)或與之建立關(guān)聯(lián),確保我們的商業(yè)活動(dòng)促進(jìn)平等和包容。

In our business activities, we will not cooperate with any suppliers involved in discriminatory practices, including discrimination based on gender, race, religion, age, disability, or other identity characteristics. We will not procure from or establish associations with such companies, ensuring that our business activities promote equality and inclusion.

第三條 關(guān)于自由結(jié)社

Article 3 Freedom of Association

在進(jìn)行商業(yè)活動(dòng)中,我們不會(huì)與任何限制員工自由結(jié)社權(quán)利的供應(yīng)商進(jìn)行合作,包括阻礙員工組織工會(huì)或參與集體談判的行為。我們不會(huì)從該類企業(yè)處采購(gòu)或與之建立關(guān)聯(lián),確保員工能夠自由表達(dá)其利益和需求。

 

In our business activities, we will not cooperate with any suppliers that restrict employees’ right to freedom of association, including actions that obstruct employees from organizing unions or engaging in collective bargaining. We will not procure from or establish associations with such companies, ensuring that employees can freely express their interests and needs.

Article 4 Community Life, including the Life of Indigenous Residents

In our business activities, we will not cooperate with any suppliers that have a negative impact on community life, especially the rights and culture of indigenous residents, including actions that infringe upon their land, resources, or cultural heritage. We will not procure from or establish associations with such companies, ensuring respect for and protection of the community’s way of life.

第五條 關(guān)于環(huán)境保護(hù)

Article 5 Environmental Protection

In our business activities, we will not profit from any actions that cause significant adverse effects on the surrounding soil, air, and water, nor will we assist or facilitate any party that seriously violates local laws and regulations, or procure from or establish associations with them. We will avoid pollution of water,

soil, and air caused by waste, wastewater, and emissions. We will also prevent damage to wildlife resources, natural geological landscapes, and threats to public health and property.

Article 6 Risks Mitigation Strategies

如果我們有合理理由認(rèn)為供應(yīng)鏈中存在上述風(fēng)險(xiǎn),將立即制定、采用和實(shí)施上游供應(yīng)商及其他利益相關(guān)方風(fēng)險(xiǎn)管理計(jì)劃,從而使該風(fēng)險(xiǎn)得到遏制或降低。如果風(fēng)險(xiǎn)管理計(jì)劃實(shí)施六個(gè)月未起作用,我們將暫時(shí)中止或終止與上游供應(yīng)商的合作。

If we have reasonable grounds to believe that the above risks exist within the supply chain, we will immediately make, adopt, and implement a risk management plan for upstream suppliers and other stakeholders to contain or reduce the risk. If the risk management plan has not been effective after six months of implementation, we will temporarily suspend or terminate cooperation with the upstream supplier.

1.   委任負(fù)責(zé)任供應(yīng)鏈的合規(guī)風(fēng)險(xiǎn)總監(jiān)以及合規(guī)風(fēng)險(xiǎn)專員負(fù)責(zé)鉑金的風(fēng)險(xiǎn)識(shí)別和管理。

1.   The appointed Compliance Risk Director and Compliance Risk Officer of the responsible supply chain are responsible for the risk identification and management of platinum .

2.   對(duì)鉑金每一筆來(lái)源按照 LPPM 的要求進(jìn)行充分的識(shí)別與記錄,確保每一筆物料的可追溯性。

2.   Each source of platinum shall be fully identified and recorded according to the requirements of LPPM to ensure the traceability of each material.

3.  建立高風(fēng)險(xiǎn)地區(qū)和高風(fēng)險(xiǎn)供應(yīng)鏈的識(shí)別流程,確保供應(yīng)鏈中的上訴風(fēng)險(xiǎn)被充分的識(shí)別。

3.  It is necessary to establish the identification process of high-risk areas and high-risk supply chain to ensure that the complaint risk in the supply chain is fully identified.

4.  每年對(duì)負(fù)責(zé)鉑金盡職調(diào)查管理體系的相關(guān)員工進(jìn)行負(fù)責(zé)任采購(gòu)采購(gòu)的相關(guān)培訓(xùn),并保留相應(yīng)的培訓(xùn)記錄。

4.  The relevant staff responsible for the platinum due diligence management system shall be trained on responsible sourcing every year with corresponding training records kept.

5.  對(duì)鉑金的供應(yīng)商進(jìn)行充分的了解和調(diào)查,確保供應(yīng)商及其最終受益人未被列入任何制裁清單。

5.  It is necessary to fully understand and investigate the suppliers of platinum to ensure that the suppliers and their ultimate beneficiaries are not included in any sanctions list.

6.  建立負(fù)責(zé)任采購(gòu)申訴渠道(wxitp@wxitp.com 電話:0510-83789626)并公布在公司網(wǎng)站(網(wǎng)址 http:// apepazza.cn/),以確保任何潛在的風(fēng)險(xiǎn)和或暫未識(shí)別的風(fēng)險(xiǎn)被充分的識(shí)別。

6.  A responsible sourcing complaint channel shall be established (wxitp@wxitp.com /Tel: 0510-83789626) and posted on the Company’s website (website:http://apepazza.cn/) to ensure that any potential risks and risks not identified are fully identified.

       本政策至少每年審查一次,確保符合《OECD指南》和LPPM最新版本的規(guī)定要求,并由合規(guī)風(fēng)控總監(jiān)負(fù)責(zé)審核,總經(jīng)理負(fù)責(zé)批準(zhǔn)簽發(fā)。

       This policy shall be reviewed at least annually to ensure compliance with the latest versions of the OECD Guidelines and LPPM requirements, and shall be subject to review by the Chief Compliance and Risk Officer and approval and issuance by the General Manager.
